What labor laws apply to an employee who is the sole shareholder of a corporation?
I formed a New York state corporation for my software business. At the end of December, the company received a large lump sum payment for a contract, making 2010 the first year the company made a profit. Now that the company has a positive balance sheet I am going to start taking a salary. I am obviously going to comply with tax laws by taking out Social Security and employment taxes as well as unemployment insurance. My understanding is that as the sole owner of the corporation I don’t have to pay workers’ compensation or disability insurance for myself. Do I need to report myself as a “new hire” as I would if I were to hire someone else? And do I have to comply with NY labor laws that say payroll has to be paid twice a month at scheduled times?
By the way, I should clarify that I am also going to be the only employee the company has.
The company is a C Corporation so I will technically be an employee, in addition to my other roles as stockholder, director, etc.. The reason I didn’t make the company an S Corporation is that during the start up period I didn’t have any significant losses so there was nothing much to deduct against personal income; instead while the company is growing I would like to let the company retain $50,000 or so in earnings each year which will be taxed at the lowest corporate rate of 15% and take the remainder as a salary – to the extent I can do this legally/reasonably in the view of the IRS. This way I can build some capital without relying on banks for loans. It does seem to me that the main intent of the labor laws would be to protect workers from getting taken advantage of and that it shouldn’t have anything to do with my situation, but I’m just wondering how picky the state is about compliance – I guess their reporting requirements and their requirement for a regular paycheck also wo
work out to the states’ advantage because there is then a regular income stream that can be taxed and less surprise than if I decided how much is salary and how much is corporate income at the end of the year.
